1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Leveridge's AI-native real estate planning software (the "Service"), including our website at leveridge.ai (the "Site").

By creating an account, accessing the Service, or clicking "I Agree," you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

These Terms contain a binding arbitration clause and class action waiver in Section 10.

2. Service Description & Eligibility

2.1 What Leveridge Provides

Leveridge provides AI-native real estate planning software for financial advisors, including property analysis, strategy modeling (Hold/Taxable Sale/1031 DST Exchange), and client-ready reports.

Leveridge is a planning tool, not a financial advisor. We do not provide financial, investment, tax, or legal advice. All decisions and recommendations remain your sole responsibility.

2.2 Professional Use Only

The Service is designed exclusively for licensed financial advisors (RIAs, CFPs, IARs) and financial planning firms. You represent that you are at least 18 years old, hold all necessary professional licenses, will comply with applicable laws and regulations, and will use the Service in accordance with your firm's compliance policies.

2.3 Geographic Restriction

The Service is available only in the United States and is intended solely for U.S.-based financial advisors. Use from outside the United States may violate these Terms and our Privacy Policy.

3. Accounts & Plans

3.1 Account Registration

To use the Service, you must create an account with accurate information (name, email, firm name, credentials). You may not create accounts for others, use false information, or create multiple accounts to circumvent restrictions.

3.2 Account Security

You are responsible for maintaining the confidentiality of your password and all activities under your account. Notify us immediately of any unauthorized access at support@leveridge.io.

3.3 Account Termination

We may suspend or terminate your account if you violate these Terms, pose security or legal risks, remain inactive for 12+ months, or fail to pay fees when due. You may terminate your account at any time in account settings or by emailing support@leveridge.io.

3.4 Free Tier

Leveridge offers a free tier that includes access to the Service for up to 2 households with no expiration and no payment information required. The free tier is provided "as is" with no warranties or Service Level Agreement (SLA). Leveridge may modify the features, limitations, or availability of the free tier at any time.

3.5 Feedback

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them. We have no obligation to implement your suggestions.

4. Subscription & Pricing

4.1 Plans

Leveridge offers the following subscription plans: Free (up to 2 households, no charge, no expiration), Solo (unlimited households, single advisor, billed annually), Practice (multi-advisor firm access, per-seat pricing), and Enterprise (custom pricing for firms of 10+ advisors). Plan features and pricing are disclosed at the time of purchase.

4.2 Billing Terms

Paid subscriptions are billed annually in advance unless otherwise stated at checkout. Payment is processed by Stripe. Paid subscriptions automatically renew at the end of each billing period at the then-current rate unless you cancel before the renewal date. You may cancel at any time in your account settings or by emailing support@leveridge.io. Cancellation takes effect at the end of the current billing period. Leveridge may change subscription pricing with at least 30 days' notice before the start of your next billing period. You will not be charged without your explicit consent.

5. Acceptable Use

Permitted Uses: You may use the Service to analyze real estate strategies, generate reports, store client property data, and share deliverables with clients.

Prohibited Uses — System Abuse: Reverse engineering, decompiling, or disassembling the Service; using bots, scrapers, or unauthorized automated tools; circumventing security measures; interfering with Service operation.

Prohibited Uses — Data Misuse: Uploading malware or malicious code; sharing credentials with unauthorized users; uploading data without proper client consent; storing data unrelated to real estate and financial planning.

Prohibited Uses — Legal Violations: Violating securities laws, FINRA rules, or CFP Board standards; providing unlicensed financial advice through the Service; using the Service for fraud or illegal activity.

Violations may result in account suspension or termination, legal action, and cooperation with law enforcement.

6. Intellectual Property

6.1 Leveridge's Rights

The Service and all related materials (software, algorithms, AI models, designs, trademarks) are owned by Leveridge. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during your subscription.

6.2 Your Data

You own all client data you upload. You grant us a limited license to store and process your data to provide the Service, and to use anonymized, aggregated data for internal product improvement only. We do not claim ownership of your data.

6.3 Generated Outputs

Reports and analyses generated by the Service are your property to use with clients. You must represent outputs as your professional work product and review all AI-generated content before client use. Leveridge makes no warranties regarding the accuracy or suitability of generated outputs.

7. Disclaimers & Liability

7.1 No Financial Advice

LEVERIDGE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, OR LEGAL ADVICE. The Service provides analytical tools and calculations only. You are solely responsible for all client recommendations, compliance with applicable laws, accuracy of data you input, and how you use and communicate outputs.

7.2 Service Disclaimers

The Service may contain bugs, errors, incomplete features, unexpected downtime, and updates. We make no warranties regarding accuracy, availability, reliability, or compatibility. The Service is used at your own risk.

7.3 No Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

7.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEVERIDGE IS NOT LIABLE FOR LOST PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, OR GOODWILL. Our total liability for any claim is limited to the greater of $100 or the amount you paid us in the 12 months before the claim. For users on the free tier, maximum liability is $100.

7.5 Exceptions

These limitations do not apply to our gross negligence, willful misconduct, fraud, or violations of law that cannot be limited by contract.

8. Indemnification

You agree to indemnify, defend, and hold harmless Leveridge, its affiliates, officers, directors, employees, and contractors from all claims, damages, losses, liabilities, and expenses arising from your use or misuse of the Service, your violation of these Terms or applicable laws, client claims based on your recommendations, data you upload, your breach of professional duties, your failure to obtain proper client consent, and infringement of third-party intellectual property rights.

Exception: You are not required to indemnify us for our own gross negligence, willful misconduct, or fraud.

9. Privacy & Third-Party Services

Your use of the Service is governed by our Privacy Policy, incorporated by reference. You own your client data. We use data only to provide the Service. You are responsible for obtaining client consent. Contact support@leveridge.io for data access, deletion, or portability requests.

The Service relies on third-party service providers including AWS, AWS RDS, SendGrid, Brevo, Beehiiv, AWS Bedrock, Sentry, Cal.com, third-party property data services, and Stripe. See our Privacy Policy for the complete subprocessor list. We are not responsible for the availability, reliability, or practices of third-party services.

10. Dispute Resolution

10.1 Informal Resolution

Before filing any claim, contact us at support@leveridge.io with a written description of your dispute. We will investigate and respond within 30 days.

10.2 Binding Arbitration

If informal resolution fails, you agree that all disputes will be resolved by binding arbitration on an individual basis, not in court. Administrator: JAMS. Location: Los Angeles County, California (or remote at your option). We pay arbitration fees for claims under $10,000.

10.3 Class Action Waiver

YOU AND LEVERIDGE AGREE THAT DISPUTES WILL BE RESOLVED INDIVIDUALLY, NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

10.4 Opt-Out Right

You may opt out of arbitration within 30 days of account creation by emailing support@leveridge.io with subject line "Arbitration Opt-Out," your name, email, firm name, and account creation date.

10.5 Governing Law

If arbitration doesn't apply: California law governs, exclusive jurisdiction in Los Angeles County courts, both parties waive the right to jury trial.

11. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Leveridge.

We may update these Terms from time to time. Material changes require 30 days' email notice. Minor updates are posted on this page. Continued use after changes constitutes acceptance.

If any provision is found invalid, the remainder of these Terms continues in full force.

You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.

Sections covering Intellectual Property, Disclaimers and Limitations of Liability, Indemnification, Dispute Resolution, and General Provisions survive termination.
